Terms & Conditions

These Terms and Conditions govern access to and use of clubz.fun, including the Clubz website, application, contests, rewards, loyalty features, account systems, wallets, promotions, community features, and any related products or services made available by Clubz. Clubz is owned and operated by Left Click Labz.

By creating an account, connecting a wallet, depositing funds, entering a contest, joining a promotion, receiving rewards, using Clickz, holding or claiming a trophy benefit, or otherwise accessing clubz.fun, you agree to be bound by these Terms and Conditions and any additional policies, contest rules, or notices published by Clubz.

If you do not agree to these Terms and Conditions, you must not create an account, deposit funds, enter contests, claim rewards, connect a wallet, or otherwise use Clubz.

Clubz may operate different contest categories, including sports contests, fantasy-style contests, crypto-

related contests, stock-related contests, NFT-related contests, prediction-style skill contests, promotional contests, private contests, and loyalty-based experiences. Additional contest-specific rules may apply to particular contests, sports, assets, collections, markets, or promotions.

These Terms are intended to apply broadly to all Clubz experiences unless a specific contest rule, promotion rule, or written policy states otherwise.

By entering a contest on Clubz, you confirm that you meet all eligibility requirements applicable to your account, location, age, payment method, wallet, and contest category.

• You are at least 18 years old, or the minimum legal age required in your jurisdiction if that age is higher.
• You are located in a jurisdiction where participation in the relevant contest or promotion is permitted.
• You are not prohibited by applicable laws, regulations, sanctions, platform rules, or these Terms from using Clubz or services offered by Left Click Labz.
• You have provided accurate, current, and complete account information.
• You are using Clubz only for yourself and not on behalf of another person, group, syndicate, prohibited entity, or unauthorized third party.
• You are legally permitted to use the payment method, wallet, account, device, and network connection used to access Clubz.

Clubz may use geolocation, identity verification, wallet verification, payment verification, account monitoring, fraud prevention tools, and other reasonable methods to enforce eligibility requirements.

Clubz may restrict or deny access to any user, contest, promotion, deposit, reward, or non-withdrawal feature if Clubz believes that the user does not satisfy eligibility requirements or that participation may create legal, regulatory, payment, security, or integrity concerns. This does not authorize Clubz to freeze eligible unused user balances or legitimate withdrawal access as a penalty; users may be banned or restricted from future participation while eligible unused balances remain withdrawable as described in Section 21.

Eligibility may vary by jurisdiction, contest type, prize type, sport, asset category, promotional campaign, payment method, or wallet connection. Users are responsible for ensuring that participation is lawful where they reside or access Clubz.

For purposes of these Terms and Conditions, the following definitions apply unless the context clearly requires otherwise.

• "Clubz" means clubz.fun and the Clubz platform, website, application, contests, products, services, rewards programs, wallet integrations, promotions, and related features owned and operated by Left Click Labz.
• "User" means any person who accesses Clubz, creates an account, connects a wallet, deposits funds, enters a contest, claims rewards, or uses any Clubz service.
• "Contest" means any skill-based competition, fantasy-style competition, prediction-style skill contest, promotional competition, private contest, or other competition offered through Clubz.
• "Entry Fee" means the amount, if any, required to enter a contest.
• "Prize" means any cash, cryptocurrency, digital asset, digital collectible, loyalty reward, Clickz, platform credit, promotional credit, trophy benefit, or other reward offered through Clubz.
• "Clickz" means Clubz platform loyalty points or credits that may be used only as expressly permitted by Clubz and have no inherent cash value unless Clubz expressly states otherwise.
• "Trophies" means Bronze, Silver, Gold, or other loyalty status indicators, collectibles, badges, or reward tiers used by Clubz to provide benefits, multipliers, access, or recognition.
• "Official Data" means data, scoring, statistics, market prices, player performance, asset performance, ownership information, or other information supplied by Clubz-designated official data sources or third-

party data providers.

• "Wallet" means any crypto wallet, digital asset wallet, blockchain address, or similar account connected to or used with Clubz.
• "Contest Rules" means the rules, scoring system, payout structure, eligibility requirements, lock times, player or asset pools, and other terms displayed for a specific contest.
• "Promotional Credits" means credits, bonuses, discounts, rewards, or benefits offered by Clubz for promotional purposes and subject to additional restrictions.
• "Prohibited Conduct" means any activity described in Section 9 or otherwise prohibited by these Terms, contest rules, published policies, or applicable law.

These definitions are intended to clarify the document and do not limit Clubz from using additional definitions in contest-specific rules, privacy policies, promotion terms, or other written policies.

Clubz contests are intended to be skill-based competitions. Contest outcomes are designed to be determined by participant skill, research, judgment, lineup construction, asset selection, strategic decisions, salary cap management where applicable, and the application of published scoring systems to real-world performance or data.

Depending on the contest type, participant skill may include, without limitation:

• Selecting athletes, teams, players, golfers, drivers, assets, collections, market indicators, or other contest components.
• Managing a salary cap, roster limit, budget, risk profile, or contest-specific constraint.
• Analyzing real-world sports performance, market movements, NFT collection activity, crypto data, stock data, statistics, injuries, schedules, historical trends, and other relevant information.
• Constructing a lineup, portfolio, prediction card, selection list, bracket, or other entry according to published rules.
• Making strategic choices before lock times and within the limits of the contest format.

Winning is based on participant skill and knowledge as applied to the published contest rules and official data sources, not on casino-style games of chance. Clubz does not represent that any user will win, profit, recover entry fees, or achieve any particular outcome.

Past performance, previous contest success, trophy status, Clickz balance, collection ownership, or account history does not guarantee future results.

Users may maintain only one Clubz account unless Clubz expressly authorizes otherwise in writing. One account per person is a core integrity rule designed to protect fair play, prevent abuse, and preserve contest integrity.

The following activities are prohibited:

• Multiple accounts controlled by the same person.
• Shared accounts or rotating account access between multiple people.
• Account farming, mass account creation, or account renting.
• Using another person's identity, wallet, payment method, device, account, or credentials to participate.
• Identity manipulation, false information, or attempts to bypass verification.
• Creating accounts for the purpose of abusing promotions, bonuses, trophies, Clickz, contests, or referral programs.

Users are responsible for keeping account credentials, devices, wallets, private keys, seed phrases, email accounts, authentication methods, and payment information secure. Clubz is not responsible for losses caused by compromised user credentials, compromised wallets, unauthorized device access, phishing, social engineering, or user error.

If you believe your account, wallet, payment method, or credentials have been compromised, you should contact Clubz promptly using the support channels listed in these Terms.

Each contest will display material rules before the contest begins. Users are responsible for reviewing all rules before entering a contest.

Contest rules may include, without limitation:

• Entry fee.
• Prize pool.
• Contest size.
• Minimum number of entries, if applicable.
• Maximum number of entries, if applicable.
• Salary cap, budget, or roster construction requirements.
• Scoring system.
• Eligible players, teams, athletes, assets, collections, markets, or categories.
• Player lock times, asset lock times, market lock times, or contest start times.
• Late swap rules, if any.
• Tie-breakers.
• Payout structure.
• Refund rules.
• Promotion-specific restrictions.
• Eligibility restrictions for specific jurisdictions or users.

Once a contest begins, lineups, selections, entries, or locked components generally become final. Locked players, athletes, assets, markets, or selections cannot be edited unless the contest rules expressly allow edits.

For sports contests, NFL players generally lock at kickoff, PGA golfers generally lock at first tee time, and other sports generally lock at the start of the athlete's event or as otherwise stated in the contest rules.

For crypto, stock, NFT, prediction-style, or market-data contests, selections may lock at the published lock time, market snapshot time, contest start time, or other time stated in the contest rules.

Contest-specific rules control over these general Terms if there is a conflict, but only for the contest to which those specific rules apply.

Clubz will publish scoring systems for every contest type before users enter the contest. Scoring is intended to be public, consistent, and applied equally to all participants in the same contest.

Scoring systems may vary by sport, market, asset category, contest format, promotion, or special event. Users are responsible for reviewing the scoring rules before entering.

Scoring may be based on official sports statistics, market prices, crypto prices, stock prices, NFT data, collection activity, ownership verification, third-party data feeds, or other Clubz-designated official data sources.

Any scoring corrections received from official data providers may result in leaderboard adjustments, prize adjustments, or contest corrections. This may occur after an initial leaderboard, prize calculation, or preliminary result is displayed.

Clubz may correct obvious scoring errors, data processing errors, display errors, leaderboard errors, or payout calculation errors where reasonably necessary to preserve contest integrity.

Clubz is built around fair competition. Users may not engage in conduct that compromises or attempts to compromise the fairness, security, transparency, or integrity of contests.

Users may not:

• Coordinate entries with other users to manipulate contest outcomes.
• Share lineup strategies, selections, or entry strategies for the purpose of unfairly influencing contest results.
• Use bots, scripts, automation tools, scraping tools, AI agents, or software designed to manipulate contests or platform functionality.
• Exploit bugs, vulnerabilities, unintended platform behavior, pricing errors, data errors, or display errors.
• Intentionally influence, manipulate, or attempt to influence contest results.
• Circumvent entry limits, salary caps, roster rules, player lock rules, asset lock rules, or other contest limits.
• Engage in coordinated entry behavior that undermines fair play or gives a group an unfair advantage.

Clubz reserves the right to investigate suspicious activity and take reasonable action against users who compromise contest integrity or violate these Terms.

To maintain a fair, secure, and enjoyable experience for all users, the following activities are strictly prohibited on Clubz:

• Fraudulent activity of any kind.
• Chargebacks intended to reverse legitimate deposits or contest entries.
• Money laundering or attempts to disguise the source of funds.
• Use of stolen payment methods, wallets, cards, bank accounts, identities, or accounts.
• Account sharing, account renting, or unauthorized account access.
• Creating multiple accounts to gain an unfair advantage.
• Using bots, scripts, automation tools, AI agents, or software designed to manipulate contests or platform functionality.
• Exploiting bugs, vulnerabilities, pricing errors, scoring errors, or unintended platform behavior.
• Collusion with other users to influence contest outcomes.
• Coordinated entry strategies designed to circumvent contest limits or restrictions.
• Abuse of promotional offers, bonuses, giveaways, referral programs, loyalty systems, trophy benefits, or reward systems.
• Impersonation of another individual, organization, brand, entity, Clubz representative, or community member.
• Providing false information during account creation, verification, deposit, withdrawal, wallet verification, or support requests.
• Attempting to interfere with the operation, security, data feeds, payments, wallets, contests, or integrity of Clubz.
• Attempting to gain unauthorized access to Clubz systems, accounts, APIs, wallets, data, or infrastructure.
• Engaging in harassment, threats, abusive conduct, hate speech, spam, scams, phishing, or harmful community behavior.
• Using Clubz in a way that violates applicable laws, regulations, sanctions, payment rules, or platform policies.

Clubz reserves the right, at its sole discretion, to investigate any suspected violation of these Terms and Conditions. Investigations may include account review, entry review, device review, payment review, wallet review, geolocation review, IP review, contest activity review, and communication review where permitted and appropriate.

If Clubz determines that a user has engaged in prohibited conduct, Clubz may take one or more of the following actions:

• Temporarily or permanently ban the user from Clubz.
• Suspend or terminate the user's account access to contests, promotions, community features, loyalty features, or other platform activity.
• Cancel contest entries affected by prohibited conduct.
• Void contest results affected by prohibited conduct.
• Disqualify users from contests, promotions, giveaways, referral programs, loyalty programs, or reward programs.
• Remove improperly awarded prizes, trophies, Clickz, loyalty rewards, promotional credits, multipliers, or other benefits.
• Refuse participation in future contests or promotions.
• Refund entry fees where appropriate.
• Require additional verification before allowing further account activity.
• Limit, disable, or restrict access to certain non-withdrawal platform features where reasonably necessary to protect users or contest integrity.

Clubz will not seize user funds, freeze user funds, or freeze legitimate withdrawal of eligible unused account balances as a penalty for a violation or ban. Users may be banned from contests, promotions, rewards programs, community features, or future use of clubz.fun, but eligible unused balances remain withdrawable as described in these Terms.

If a user is banned or restricted, Clubz may prevent that user from entering contests, claiming future rewards, participating in promotions, using community features, or otherwise engaging in future platform activity. Where possible and lawful, Clubz will seek to return legitimate unused account balances belonging to the user through supported withdrawal methods, subject to applicable laws, completed identity verification, accurate withdrawal instructions, payment processing requirements, network requirements, and technical limitations.

Users found to have engaged in prohibited conduct may be permanently banned from clubz.fun and all affiliated products, services, contests, and future promotions.

Clubz reserves the right to make the final determination regarding violations of this section.

Clubz may take reasonable action to protect contest integrity, platform security, and user trust. All decisions regarding contest integrity are intended to preserve fairness and prevent abuse.

Clubz may:

• Audit contests.
• Review user activity.
• Review lineups, selections, entries, devices, wallets, accounts, geolocation information, and payment activity.
• Cancel contests impacted by technical issues, scoring issues, data feed issues, security incidents, insufficient entries, or integrity concerns.
• Correct obvious scoring errors, display errors, leaderboard errors, payout calculation errors, or data processing errors.
• Void entries obtained through exploitation, prohibited conduct, ineligible access, or violation of contest rules.
• Adjust leaderboards where official data corrections, scoring corrections, or rule enforcement requires adjustment.
• Delay finalization of contests where an integrity review is reasonably required.

Clubz may rely on internal systems, third-party data providers, payment processors, identity verification vendors, wallet verification tools, and other reasonable sources when reviewing contest integrity.

All Clubz decisions regarding contest integrity, scoring corrections, refunds, disqualification, and contest resolution are final to the fullest extent permitted by law.

Prize structures will be displayed before contests begin. Users are responsible for reviewing the payout structure and prize terms before entering a contest.

Clubz may offer:

• Standard contests.
• Guaranteed prize pool contests.
• Private contests.
• Promotional contests.
• Free contests.
• Paid contests.
• Limited-time contests.
• Sports contests.
• Crypto-related contests.
• Stock-related contests.
• NFT-related contests.
• Prediction-style skill contests.
• Loyalty or trophy-gated contests.

Prizes may include:

• Cash.
• Cryptocurrency.
• Digital collectibles.
• NFTs.
• Loyalty rewards.
• Platform credits.
• Clickz.
• Trophy benefits.
• Promotional credits.
• Access rights or other platform benefits.

Prize distribution will occur according to the published payout structure for the relevant contest. Clubz may require identity verification, account verification, wallet verification, tax information, compliance checks, or other reasonable steps before processing certain prizes or withdrawals.

Prize amounts, values, and availability may be affected by market volatility, network fees, blockchain congestion, third-party provider limitations, payment processing delays, wallet issues, or data provider corrections.

In the event of a contest cancellation caused by technical issues, insufficient entries, data provider failures, force majeure events, security issues, payment issues, or other circumstances affecting contest integrity, Clubz may refund entry fees in lieu of awarding prizes.

Some contests may require a minimum number of entries, participants, eligible lineups, payment confirmations, or other criteria before the contest runs. If a contest does not satisfy applicable minimums, Clubz may cancel the contest and refund entry fees.

Clubz strives to provide reliable and uninterrupted contests. However, in the event of a technical failure, data outage, scoring issue, payment processing error, security incident, insufficient entries, official data issue, third-

party provider failure, force majeure event, or other unforeseen circumstance that materially impacts the fairness or operation of a contest, Clubz reserves the right to:

• Pause a contest.
• Delay contest finalization.
• Cancel a contest.
• Void affected entries.
• Adjust scoring where appropriate.
• Rescore a contest using corrected official data.
• Issue full or partial refunds.
• Refund entry fees in lieu of awarding prizes.
• Complete the contest if results can be reasonably determined using available official data.

If a contest is cancelled before completion, affected participants will generally receive a refund of their entry fees, subject to payment method limitations, platform rules, and applicable law.

If a contest has already progressed and results can be reasonably determined using available official data, Clubz may elect to complete the contest rather than issue refunds.

Refunds may be processed to the original payment method, user account balance, wallet, platform credit balance, or another approved method, depending on the original transaction type and platform capabilities.

Clubz will make reasonable efforts to communicate contest cancellations, delays, scoring corrections, refund decisions, or payout adjustments to affected users.

Clubz's decision regarding contest resolution, refunds, scoring corrections, cancellations, and payouts shall be final to the fullest extent permitted by law.

Clubz may allow users to connect wallets, verify digital asset holdings, receive crypto rewards, receive digital collectibles, participate in NFT-related contests, or access trophy and loyalty benefits based on wallet holdings.

Users are solely responsible for:

• Securing their wallets.
• Securing private keys and seed phrases.
• Maintaining access to connected accounts.
• Using correct wallet addresses.
• Understanding network fees, gas fees, bridging risks, and blockchain confirmation times.
• Ensuring that a wallet is compatible with any supported asset or network.
• Protecting devices, browsers, extensions, and applications used to connect to Clubz.

Clubz is not responsible for losses resulting from:

• Wallet compromise.
• User error.
• Incorrect wallet addresses.
• Lost private keys or seed phrases.
• Phishing or social engineering.
• Third-party wallet provider failures.
• Blockchain outages.
• Smart contract failures.
• Network congestion.
• Bridge failures.
• Exchange outages.
• Marketplace outages.
• Asset volatility.
• Unsupported networks or assets.

Users should carefully verify all wallet addresses, networks, supported assets, and transaction details before initiating any transaction or withdrawal. Blockchain transactions may be irreversible.

Clubz may provide platform credits, loyalty points, or reward points known as Clickz. Clickz are intended to support loyalty, engagement, promotions, rewards, contests, multipliers, or platform benefits as determined by Clubz.

Unless Clubz expressly states otherwise in writing:

• Clickz have no cash value.
• Clickz are not legal tender.
• Clickz are not cryptocurrency.
• Clickz are not securities.
• Clickz are not stored value accounts.
• Clickz are not redeemable for cash.
• Clickz are not transferable except as expressly permitted by Clubz.
• Clickz may not be sold, assigned, pledged, traded, or exchanged outside approved Clubz functionality.
• Clickz may expire, be adjusted, be removed, or be discontinued according to Clubz rules.

Clubz may modify, suspend, limit, replace, or discontinue Clickz, Clickz multipliers, Clickz rewards, Clickz redemption options, or Clickz earning rules at any time.

Clubz may remove Clickz that were awarded in error, obtained through prohibited conduct, obtained through promotional abuse, credited due to a technical issue, or otherwise inconsistent with these Terms.

Clickz balances shown on the platform are not bank balances and do not represent user funds unless Clubz expressly states otherwise.

Clubz may provide loyalty benefits based on verified holdings, platform activity, digital collectible ownership, community participation, or other eligibility criteria. These loyalty benefits may be represented through trophies, badges, tiers, multipliers, rewards, or other status indicators.

Current trophy structure may include:

• Bronze Trophy = Holder of at least 1 eligible Left Click Labz collection.
• Silver Trophy = Holder of 3 eligible Left Click Labz collections.
• Gold Trophy = Holder of every eligible Left Click Labz collection or a Chillionaire.

Trophies may provide Clickz multipliers, contest access, promotional access, community recognition, loyalty benefits, or other platform benefits as determined by Clubz.

Trophy benefits, eligibility requirements, eligible collections, verification methods, reward structures, multipliers, access rights, and status tiers may change at Clubz's discretion.

Clubz may add or remove eligible collections, change trophy criteria, update verification methods, limit benefits, discontinue benefits, or replace the trophy system. Holding a trophy, collection, or status level does not guarantee permanent access to any specific benefit.

Trophies and loyalty benefits may be removed or adjusted if awarded in error, obtained through prohibited conduct, obtained through wallet manipulation, or otherwise inconsistent with these Terms.

Clubz may restrict access to the platform, contests, deposits, prizes, wallet features, promotions, rewards, or other non-withdrawal features in certain jurisdictions. Restrictions may apply based on law, regulation, risk, payment requirements, platform policy, contest type, prize type, or provider limitations. Eligible unused balances remain withdrawable through supported withdrawal methods as described in Section 21, subject to applicable law, successful verification where required, accurate withdrawal details, and payment or network availability.

Users attempting to bypass restrictions through VPNs, proxies, remote desktops, location spoofing, false addresses, false identity information, shared accounts, or other methods may have their accounts suspended or terminated.

Users are responsible for ensuring that participation is legal within their jurisdiction. Clubz does not guarantee that any contest, feature, reward, payment method, wallet feature, or promotion is available or lawful in every location.

Clubz may require geolocation, identity verification, proof of residency, wallet verification, payment verification, or other information to determine whether a user may access certain contests or features.

Users should only participate with funds they can afford to lose. Clubz contests should be treated as entertainment and skill-based competition, not as a source of guaranteed income, investment return, financial security, or profit.

Clubz supports responsible participation and may provide:

• Deposit limits.
• Contest entry limits.
• Self-exclusion tools.
• Account cooling-off periods.
• Session reminders.
• Responsible play messaging.
• Limits on promotional participation or contest participation where appropriate.

Users may contact Clubz support to request reasonable account limits or cooling-off options where available. Clubz may also apply limits where it believes doing so is appropriate for user protection, platform integrity, or legal compliance.

Participation in contests involves risk. No strategy, lineup, selection method, collection ownership, market view, trophy level, or prior contest result guarantees future success.

Clubz may modify the platform from time to time. This includes changes to contests, scoring systems, rewards programs, fees, features, trophies, Clickz, promotions, wallet integrations, payment methods, data providers, user interfaces, and these Terms and Conditions.

Clubz may make changes for reasons including, without limitation, platform improvement, user feedback, legal compliance, payment processing requirements, security concerns, third-party provider changes, market conditions, data provider changes, bug fixes, or business needs.

Users will be notified of material changes where required by applicable law or where Clubz determines that notice is appropriate. Continued use of Clubz after changes become effective constitutes acceptance of the updated terms, rules, policies, or features.

Clubz may suspend, discontinue, or remove features, contests, rewards, trophies, Clickz functionality, promotional campaigns, wallet integrations, or payment methods at any time.

Clubz provides its platform, contests, rewards, and services on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Clubz does not guarantee uninterrupted service, error-free operation, continuous availability, complete accuracy, uninterrupted data feeds, uninterrupted wallet connections, uninterrupted payment processing, uninterrupted blockchain access, or continuous availability of any feature.

To the fullest extent permitted by law, Clubz disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Clubz is not liable for:

• Internet outages.
• Data feed interruptions.
• Third-party service failures.
• Payment processor outages or delays.
• User device issues.
• Delayed contest updates.
• Market volatility.
• Crypto volatility.
• Stock volatility.
• NFT valuation changes.
• Blockchain congestion.
• Smart contract failures.
• Wallet provider outages.
• Exchange outages.
• Marketplace outages.
• Oracle failures.
• API provider outages.
• Official data corrections.
• Incorrect information supplied by users.
• Acts of God or force majeure events.
• Losses caused by unauthorized account access where the user failed to secure their credentials or wallet.
• Losses caused by participation decisions, lineup decisions, asset selections, prediction decisions, or market decisions made by users.

To the fullest extent permitted by law, Clubz's maximum liability for any claim shall not exceed the user's total contest entry fees paid during the six (6) months preceding the event giving rise to the claim.

In no event shall Clubz be liable for indirect, incidental, consequential, special, punitive, exemplary, lost profit, lost opportunity, lost data, lost goodwill, market loss, asset loss, or similar damages, even if Clubz has been advised of the possibility of such damages.

By creating an account, connecting a wallet, depositing funds, entering a contest, receiving rewards, participating in promotions, or otherwise using Clubz, you agree to these Terms and Conditions and all published Contest Rules, Privacy Policies, Fair Play Policies, Responsible Play Policies, Prize and Reward Policies, promotion terms, and other rules posted by Clubz.

If a contest, promotion, reward, or feature has additional rules, those additional rules apply to that contest, promotion, reward, or feature. In the event of a conflict, the more specific rule will generally control for that specific contest, promotion, reward, or feature.

Users are responsible for reviewing applicable policies and rules before participating.

Users may deposit and withdraw funds using approved payment methods supported by Clubz. Available payment methods, minimums, maximums, fees, processing times, withdrawal methods, and supported currencies or assets may vary.

By requesting a deposit or withdrawal, users acknowledge that:

• Identity verification (KYC) may be required before deposits or withdrawals are processed.
• Clubz may request additional documentation to verify ownership of an account, wallet, payment method, or identity.
• Users are responsible for providing accurate wallet addresses, payment details, account information, and network information.
• Withdrawal requests may be subject to minimum withdrawal amounts.
• Withdrawal requests may be subject to network transaction fees.
• Withdrawal requests may be subject to payment processor fees where applicable.
• Withdrawals remain subject to ordinary settlement timing, payment rail availability, blockchain network availability, provider availability, accurate destination information, and applicable law.
• Temporary maintenance, provider outages, blockchain congestion, payment rail outages, or technical issues may affect processing timing, but Clubz will not freeze legitimate withdrawals of eligible unused balances as a penalty for a ban.

Clubz is not responsible for funds sent to an incorrect wallet address, payment destination, network, account, or payment method provided by the user.

Clubz will not seize user funds, freeze user funds, or freeze legitimate withdrawals of eligible unused account balances as a penalty for account suspension, account termination, prohibited conduct, or a ban. Users may be banned from contests, promotions, rewards programs, community features, or future use of clubz.fun, but legitimate withdrawals of eligible unused balances will remain available through supported methods as described in this section.

If Clubz bans, suspends, or restricts a user for prohibited conduct, Clubz may remove invalid contest entries, void affected contest results, remove improperly awarded prizes or rewards, and prevent future participation. Clubz will seek to return any legitimate unused account balance through supported withdrawal methods where possible and lawful, subject to completed identity verification, accurate withdrawal instructions, payment processing requirements, network requirements, and technical limitations.

A withdrawal request may be declined only to the extent the requested amount is not an eligible unused balance, has already been used for contest entries, consists of voided or improperly awarded rewards, depends on incomplete required verification, contains inaccurate or unsupported withdrawal instructions, violates applicable law, or cannot be processed because of payment rail, network, wallet, or technical limitations.

Funds won through contests remain the property of the user, subject to compliance with these Terms and Conditions, contest rules, verification requirements, payment processing requirements, and applicable laws.

Clubz will use commercially reasonable efforts to process approved withdrawal requests in a timely manner, but Clubz does not guarantee processing times because payment rails, wallets, networks, banks, blockchains, and third-party providers may affect timing.

Accounts that remain inactive for an extended period may be subject to administrative review. Inactivity may include lack of login, lack of contest entry, lack of wallet activity, lack of account activity, or other factors determined by Clubz.

Clubz will make reasonable efforts to contact account holders before taking action regarding inactive balances where contact information is available and where notice is required or appropriate.

Any treatment of dormant accounts, abandoned balances, unclaimed prizes, unclaimed credits, or inactive account balances will be conducted in accordance with applicable laws and regulations.

Clubz may require identity verification, updated contact information, wallet verification, or other reasonable steps before reactivating an inactive account or processing a withdrawal from an inactive account.

Users are solely responsible for determining, reporting, and paying any taxes arising from contest winnings, rewards, cryptocurrency distributions, digital asset rewards, NFT rewards, Clickz redemption where applicable, promotional credits, prizes, or other benefits received through Clubz.

Clubz may provide transaction histories, prize histories, reward records, or tax-related information where required by law, but Clubz does not provide tax advice.

Clubz may require tax documentation, identity information, residency information, or other information before distributing certain prizes or processing certain withdrawals where required or appropriate.

Users should consult their own tax advisors regarding individual tax obligations, including obligations related to cash prizes, crypto rewards, NFTs, digital assets, promotional prizes, and cross-border transactions.

Clubz may rely on third-party providers for sports data, player statistics, official scores, injury data, schedule information, crypto prices, stock prices, NFT pricing, floor prices, ownership verification, market data, blockchain data, wallet data, exchange data, oracle data, and other information used to operate contests.

Clubz will designate the official data sources for scoring or settlement where applicable. Clubz may change data providers or official data sources at any time.

Third-party data may be delayed, incomplete, inaccurate, corrected, unavailable, or inconsistent across sources. Clubz does not guarantee the accuracy, completeness, timeliness, reliability, or availability of third-

party data.

Official stat corrections, market corrections, data feed corrections, blockchain indexing corrections, NFT collection metadata changes, ownership verification changes, or provider corrections may result in leaderboard adjustments, contest corrections, refund decisions, or payout adjustments.

Clubz is not responsible for losses, missed opportunities, incorrect decisions, contest outcomes, or prize changes caused by third-party data issues, official corrections, data delays, data outages, or provider errors.

Clubz does not provide investment, financial, legal, tax, trading, accounting, or professional advice. Any information displayed on Clubz, including crypto information, stock information, NFT information, market information, sports information, statistics, commentary, odds-like comparisons, projections, rankings, trends, social content, or community content, is provided for informational, entertainment, and contest-related purposes only.

Nothing on Clubz is an offer, recommendation, solicitation, or advice to buy, sell, hold, trade, stake, lend, borrow, invest in, or otherwise transact in any security, commodity, cryptocurrency, NFT, token, financial instrument, or digital asset.

Users are solely responsible for their own decisions, including contest selections, lineup decisions, market-

related selections, crypto-related selections, stock-related selections, NFT-related selections, wallet decisions, payment decisions, and tax reporting decisions.

Clubz does not guarantee profits, returns, price outcomes, asset performance, contest winnings, or financial results. Users should consult qualified professionals before making financial, tax, legal, trading, or investment decisions.

Clubz may allow users to submit, post, display, share, upload, transmit, or communicate content through profiles, comments, chats, usernames, avatars, contest names, private contests, community features, support channels, social integrations, or promotional features.

Users are responsible for their own content and communications. Users may not submit or share content that:

• Is fraudulent, misleading, deceptive, or impersonates another person or entity.
• Contains threats, harassment, hate speech, abusive language, or discriminatory content.
• Promotes scams, phishing, malware, malicious links, or unauthorized solicitations.
• Violates privacy, publicity, intellectual property, or other rights of others.
• Contains unlawful content or encourages unlawful activity.
• Attempts to manipulate contests, coordinate collusion, or share exploit information.
• Disrupts the platform, community, contests, promotions, or support operations.

Clubz may moderate, remove, hide, restrict, or disable user content or communications that violate these Terms, platform rules, or community standards. Clubz may also restrict accounts that engage in abusive, fraudulent, manipulative, or harmful communications.

Clubz may offer promotional contests, giveaways, referral programs, bonus rewards, loyalty campaigns, special events, free entries, Clickz bonuses, trophy benefits, digital asset rewards, or other promotional opportunities.

Promotions may be subject to additional terms, eligibility rules, location restrictions, entry limits, expiration dates, verification requirements, and reward conditions. Clubz may modify, suspend, cancel, or end promotions at any time.

Promotional abuse is prohibited. Promotional abuse may include:

• Creating multiple accounts to claim bonuses.
• Using false identities or shared payment methods to claim rewards.
• Coordinating with others to exploit promotions.
• Using bots, scripts, or automation to claim rewards.
• Manipulating referrals, entries, wallets, trophies, or Clickz balances.
• Attempting to convert promotional credits or rewards in a way not permitted by Clubz.

Clubz may remove promotional rewards, Clickz, trophies, multipliers, entries, bonuses, or benefits obtained through promotional abuse, error, prohibited conduct, or violation of promotion terms.

Clubz, including its name, logos, platform design, contest formats, scoring systems, software, graphics, user interface, content, code, data compilations, reward systems, trophies, Clickz branding, and related materials, is owned by Left Click Labz or its licensors and is protected by intellectual property and other laws.

Users receive a limited, revocable, non-exclusive, non-transferable license to access and use Clubz for personal, lawful, non-commercial use in accordance with these Terms.

Users may not copy, scrape, reverse engineer, modify, reproduce, distribute, sell, exploit, frame, mirror, or create derivative works from Clubz or its content except as expressly permitted by Clubz.

Nothing in these Terms transfers ownership of Clubz intellectual property to any user. All rights not expressly granted are reserved by Clubz.

Use of Clubz is also governed by the Clubz Privacy Policy. The Privacy Policy should describe how Clubz collects, uses, stores, shares, protects, and processes user information, including account information, wallet information, payment information, identity verification information, geolocation information, device information, usage data, and communications.

By using Clubz, users consent to the collection and processing of information as described in the Clubz Privacy Policy and as reasonably necessary to operate contests, process payments, verify identity, prevent fraud, enforce rules, comply with law, and provide platform features.

Clubz may use third-party vendors for identity verification, payment processing, analytics, security, data feeds, wallet verification, email delivery, hosting, customer support, and other platform operations. Use of such providers may involve processing user information subject to applicable policies and laws.

Clubz will maintain a separate Privacy Policy that describes product behavior, vendor usage, cookies, analytics, wallet integrations, KYC flows, and data retention practices.

Clubz may suspend, restrict, or terminate a user account where Clubz believes the user has violated these Terms, violated contest rules, engaged in prohibited conduct, created legal or payment risk, compromised contest integrity, or otherwise created risk to users, Clubz, partners, payment providers, or platform operations.

Users may stop using Clubz at any time. Users may contact Clubz support regarding account closure, subject to any pending contests, withdrawals, verification requirements, unresolved disputes, legal requirements, payment processing requirements, or account balance issues. Account closure or a ban does not authorize Clubz to freeze legitimate withdrawals of eligible unused balances as a penalty.

Termination or account closure does not automatically cancel obligations arising before termination, including payment obligations, tax obligations, dispute resolution obligations, rule violations, or obligations related to prohibited conduct.

Sections relating to intellectual property, prohibited conduct, contest integrity, limitation of liability, disclaimers, taxes, dispute resolution, arbitration, governing framework, privacy, and any provisions that by their nature should survive termination will survive termination or account closure.

By using Clubz, users agree that any dispute, claim, controversy, or disagreement arising out of or relating to Clubz, its contests, services, rewards, accounts, deposits, withdrawals, wallets, Clickz, trophies, promotions, data, payments, prizes, or these Terms and Conditions shall be resolved exclusively through binding arbitration and not through court proceedings, except where prohibited by applicable law.

Users agree to waive any right to:

• Participate in a class action lawsuit.
• Participate in a class arbitration.
• Serve as a representative plaintiff.
• Pursue claims in a jury trial.
• Consolidate claims with other users except where prohibited by applicable law.

Any arbitration shall be conducted on an individual basis and shall be the sole and exclusive remedy for resolving disputes between the user and Clubz to the fullest extent permitted by law.

Before initiating arbitration, the user agrees to contact Clubz at admin@clubz.fun and provide a written description of the dispute, the account involved, the requested resolution, and any relevant supporting information. Clubz will make reasonable efforts to resolve disputes informally before arbitration is initiated.

Unless required otherwise by applicable law or mutually agreed by the parties, arbitration may be conducted remotely, by written submissions, by video conference, or through another efficient process selected by the arbitrator or applicable arbitration rules.

To the fullest extent permitted by law, Clubz's total liability for any claim shall not exceed the total amount paid by the user in contest entry fees during the six (6) months preceding the event giving rise to the claim.

If any portion of this section is found unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

These Terms and Conditions shall be interpreted consistently with applicable laws and the jurisdiction in which Clubz is legally organized, unless another governing law is expressly posted by Clubz or required by applicable law.

Because Clubz may be accessed from multiple jurisdictions and may involve different contest categories, payment methods, wallet integrations, and prize types, some provisions may apply differently depending on user location, contest type, payment method, or applicable law.

If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be interpreted, modified, or replaced to the extent necessary to make it enforceable while preserving its original intent as much as possible.

Clubz's failure to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision, any other provision, or any Clubz rights.

Clubz is not responsible for delays, failures, interruptions, errors, cancellations, data issues, payment issues, wallet issues, or inability to perform caused by events beyond its reasonable control.

Force majeure events may include, without limitation:

• Natural disasters.
• War, terrorism, civil unrest, or public emergencies.
• Government actions, regulatory actions, sanctions, or legal restrictions.
• Internet outages.
• Cloud provider outages.
• API provider outages.
• Data provider outages.
• Payment processor outages.
• Banking interruptions.
• Blockchain outages.
• Network congestion.
• Oracle failures.
• Exchange outages.
• Marketplace outages.
• Wallet provider outages.
• Cyberattacks.
• Security incidents.
• Labor disputes.
• Power outages.
• Events affecting sports leagues, teams, tournaments, exchanges, markets, blockchains, data feeds, or third-party providers.

Where a force majeure event materially affects a contest, Clubz may cancel the contest, delay scoring, adjust scoring, issue refunds, or take other reasonable action to preserve fairness and platform integrity.

By creating an account, connecting a wallet, depositing funds, entering a contest, participating in promotions, receiving rewards, using Clickz, claiming trophy benefits, or otherwise using Clubz, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

You further acknowledge that participation in Clubz contests involves risk and that past results do not guarantee future outcomes.

You acknowledge that Clubz does not provide investment, financial, legal, tax, trading, or professional advice and that all participation decisions are made voluntarily and at your own discretion.

Use of the platform is entirely voluntary and subject to these Terms and Conditions.

Clubz may publish separate support policies that align with these Terms and accurately describe platform operations. These documents help users understand Clubz, contest participation, rewards, privacy practices, responsible play tools, and fair play expectations.
